Terms of Service
Last updated: October 12, 2026 · Effective: October 12, 2026
1. Agreement to Terms
These Terms of Service constitute a legally binding agreement between you and Sage Mode, LLC (dba Verrly) governing your access to and use of the Verrly website, applications, and services.
2. Description of Service
Verrly is a SaaS platform providing AI-powered website analysis and competitor research, backlink opportunity discovery and lead generation, automated outreach email drafting and campaign management, progress tracking and reporting, and related SEO tools — intended for use in compliance with search engine guidelines and applicable laws.
3. AI-Generated Content
Certain features of the Service — including outreach email drafts, AI visibility analysis, and recommendations — are generated using artificial intelligence and large language models. AI-generated content may contain inaccuracies, be incomplete, or be unsuitable for your specific situation. You are solely responsible for reviewing, editing, and verifying any AI-generated content before sending, publishing, or otherwise relying on it. We do not guarantee the accuracy, completeness, or fitness of AI-generated output for any particular purpose.
4. Account Registration and Security
You must create an account with accurate, current information to use certain features, are responsible for your account credentials and all activity under your account, and must be at least 18 (or the age of majority in your jurisdiction).
5. Subscription Plans and Pricing
Plans include a free tier and paid tiers with different features. The Free plan never expires and never requires a payment method. The Starter plan includes a 30-day free trial only when it is the customer's first Verrly subscription: a payment method is required, you have full access from day one, and your payment method is charged automatically when the trial ends unless you cancel before then — cancelling during the trial means you are never charged. The Pro plan has no free trial and is charged when you subscribe; a customer who has subscribed before is charged when they subscribe on either plan. One free trial per person; if a card has already been used for a trial, billing starts right away. Fees are due at the start of each billing period (monthly or annual, as chosen at checkout) and subscriptions auto-renew for the same period until cancelled. You can cancel at any time from your account settings; cancellation takes effect at the end of the period already paid for, and you keep access until then. Fees are non-refundable, including for partly used periods, except (a) where a refund is required by law, and (b) charges made in error, such as a duplicate charge or a charge after cancellation took effect, which we will refund in full on request. Upgrades take effect immediately and are charged a prorated amount for the rest of the current period. Prices may change with at least 30 days' notice.
6. Acceptable Use Policy
You agree not to use the Service for illegal purposes, send spam or abusive outreach, build links that violate search engine guidelines, circumvent rate limits or security measures, reverse engineer the Service, build a competing product, scrape data, impersonate others, transmit malware, or attempt unauthorized access.
Outreach email you send through the Service is sent by you, from your own mailbox, to recipients you choose. You are responsible for having a lawful basis to contact each recipient and for complying with the email and privacy laws that apply to you and to them, including the U.S. CAN-SPAM Act, Canada’s Anti-Spam Legislation (CASL), the UK Privacy and Electronic Communications Regulations, and EU ePrivacy and data-protection law (GDPR), several of which require consent or a legitimate interest before you email people in Canada, the UK or the EU. The Service adds an unsubscribe link and a postal address to outreach email and stops further outreach through the Service to anyone who unsubscribes or is on your do-not-contact list; it does not decide whether a particular email is lawful to send, and it does not check where recipients are located.
7. Intellectual Property Rights
Verrly owns the Service and its content. You retain ownership of content you submit ("User Content") and grant us a license to use it to provide the Service. Feedback you provide may be used without restriction or compensation.
8. DMCA / Copyright Policy
We respect the intellectual property rights of others and respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA"). If you believe content accessible through the Service infringes your copyright, send a written notice to our designated agent through our contact form, including: (1) a physical or electronic signature of the copyright owner or authorized representative; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the allegedly infringing material and information reasonably sufficient to locate it; (4) your contact information; (5) a statement of good-faith belief that the use is not authorized; and (6) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act on the copyright owner's behalf. We will remove or disable access to material identified in a valid notice and, in appropriate circumstances, terminate accounts of repeat infringers.
9. Privacy and Data Protection
See our Privacy Policy for how we collect, use, and protect your information.
10. Third-Party Services and Links
The Service may integrate with or link to third-party services; we are not responsible for their content or practices.
11. Disclaimers and Limitations
The Service is provided "as is" without warranties of any kind. We do not guarantee specific results — rankings, backlinks, and traffic depend on factors outside our control. Our total liability is limited to the greater of what you paid in the prior 30 days or $100.
12. Indemnification
You agree to indemnify Verrly against claims arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.
13. Termination
You may cancel your subscription and delete your account at any time. We may suspend or terminate access for violation of these Terms, non-payment, fraudulent or illegal activity, extended inactivity, or legal requests. Sections that should survive termination will survive.
14. Dispute Resolution
Before filing a formal dispute, contact us via our Contact Us form to resolve it informally. Unresolved disputes go to binding arbitration under American Arbitration Association rules, seated in California. Claims are adjudicated individually — you waive participation in class actions. Either of us may instead bring an individual claim in small-claims court if it qualifies.
15. Governing Law
These Terms are governed by California law; disputes are brought exclusively in California state or federal courts.
16. Changes to Terms
We may modify these Terms from time to time. We will post the new Terms here with an updated "Last updated" date, and for material changes we will email the address on your account at least 14 days before they take effect (sooner if the change is required by law or for security). If you do not agree to a change, you may cancel before it takes effect; continuing to use the Service afterwards means you accept the updated Terms.
17. General Provisions
These Terms plus our Privacy Policy are the entire agreement between you and Verrly. Our failure to enforce a provision is not a waiver; invalid provisions don't affect the rest. You may not assign these Terms without our consent; we may assign them freely. We are not liable for delays due to force majeure events.
18. Contact Information
